These Terms of Service ("Terms") constitute a binding agreement between you ("Customer," "you," or "your") and Alaz Sol X Pte Ltd.("Company," "we," "us," or "our") governing access to and use of AlazOS.AI (our website at alazos.ai and related domains), the AlazOSplatform, APIs, dashboards, and related software (collectively, the "Services"). AlazOS.AI and the AlazOS platform are owned and operated by Alaz Sol X Pte Ltd.. If you do not agree to these Terms, do not access or use the Services.
1. Infrastructure Provider; No Transaction Party
Alaz Sol X Pte Ltd. acts strictly as a software infrastructure provider through AlazOS.AI and the AlazOS platform. We license technology that enables marketplace operators, franchisors, and merchants to manage listings, inventory, payments routing, and operational workflows. Alaz Sol X Pte Ltd. and AlazOS are not a party to any transaction between merchants and buyers, do not take title to goods sold, do not guarantee product quality or delivery, and do not act as buyer, seller, broker, auctioneer, insurer, or escrow agent unless expressly stated in a separate written agreement signed by Alaz Sol X Pte Ltd..
All commercial terms—including pricing, warranties, returns, and dispute resolution between end customers and merchants—are solely between the merchant (or estate operator) and the buyer. You are responsible for your own consumer-facing terms, receipts, and regulatory disclosures.
2. Eligibility and Accounts
The Services are offered exclusively to businesses and authorized representatives. You represent that you have authority to bind your organization. You are responsible for safeguarding credentials, API keys, and access tokens. Notify us immediately of unauthorized access at security@alazos.ai.
3. Marketplace Operator Obligations
Operators and merchants using AlazOS.AI or the AlazOS platform agree to:
- Maintain accurate business, tax, and Stripe Connect onboarding information;
- Comply with applicable laws including consumer protection, product safety, and export controls;
- Honor payout and refund obligations to buyers and connected accounts;
- Respond to buyer inquiries and fulfillment commitments in a timely manner;
- Cooperate with fraud investigations and lawful information requests.
4. Acceptable Use Policy
You may not use the Services to engage in unlawful, deceptive, or harmful activity. Without limitation, you agree not to:
- List, sell, facilitate, or advertise illegal physical goods, including controlled substances, weapons where prohibited, stolen property, counterfeit goods, or products that violate applicable sanctions or export laws;
- Process transactions involving human trafficking, wildlife trafficking, or other criminal enterprises;
- Circumvent fee structures, payment rails, or security controls of Alaz Sol X Pte Ltd., AlazOS, or Stripe;
- Upload malware, probe systems without authorization, or interfere with Service availability;
- Harass, defraud, or impersonate any person or entity;
- Scrape or reverse engineer the Services except as permitted by law or written consent.
We reserve the right to suspend or terminate access, withhold settlements where legally permitted, and report activity to payment partners or authorities when we reasonably believe policy violations or illegal conduct have occurred.
5. Payments and Stripe Connect
Payment features are provided in conjunction with Stripe Connect. Your use of payment capabilities is subject to Stripe's services agreement and connected account terms. Alaz Sol X Pte Ltd. facilitates routing and ledger entries through AlazOS but does not guarantee approval of Connect accounts, payout timing controlled by Stripe or banks, or chargeback outcomes.
6. Fees and Taxes
Subscription, usage, and platform fees are set forth in your order form or operator agreement with Alaz Sol X Pte Ltd.. You are solely responsible for taxes arising from your sales and operations. Failure to pay undisputed fees may result in suspension after notice.
7. Intellectual Property
Alaz Sol X Pte Ltd. retains all rights in the Services, AlazOS.AI,AlazOS software, documentation, and trademarks. We grant you a limited, non-exclusive, non-transferable license to use the Services during the term of your agreement. You retain ownership of your content but grant Alaz Sol X Pte Ltd. a license to host, process, and display it as necessary to provide the Services.
8. Confidentiality and Data
Each party will protect confidential information using reasonable care. Our handling of personal data is described in the Privacy Policy, incorporated by reference.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALAZ SOL X PTE LTD. DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION, OR THAT DEFECTS WILL BE CORRECTED.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- ALAZ SOL X PTE LTD. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- ALAZ SOL X PTE LTD.' AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO ALAZ SOL X PTE LTD. IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED SINGAPORE DOLLARS (SGD 100).
- THE FOREGOING LIMITATIONS APPLY TO ALL CAUSES OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND SURVIVE TERMINATION OF THE AGREEMENT.
Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the fullest extent permitted by law.
11. Indemnification
You will defend, indemnify, and hold harmless Alaz Sol X Pte Ltd. and its officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Services; (b) your products, listings, or transactions with buyers; (c) your violation of these Terms or applicable law; or (d) disputes between you and your customers or connected accounts.
12. Suspension and Termination
We may suspend or terminate access for material breach, legal requirement, risk to the platform, or non-payment. Upon termination, your right to use the Services ceases; provisions that by nature should survive (including Sections 1, 9, 10, and 11) remain in effect.
13. Governing Law and Disputes
These Terms are governed by the laws of the Republic of Singapore, without regard to conflict-of-law principles. Parties submit to the exclusive jurisdiction of the courts of Singapore, subject to any mandatory arbitration or injunctive relief provisions in a master services agreement.
14. Changes
We may modify these Terms by posting an updated version on AlazOS.AI. Material changes will be communicated through the Services or email where practicable. Continued use after the effective date constitutes acceptance.
